Terms of Use

All use of Thomson Reuters’s ONVIO application and any related products or services (collectively, the "Service") is subject to the terms set forth below ("Terms"). "We" or "Thomson Reuters" refers to Thomson Reuters and its affiliated companies, and "you" or "your" means any user of the Service. Any use of the Service constitutes your agreement to abide by the Terms. We may amend these Terms at any time with notice to you.

Interactive Preview
We will make the Service available to you as an interactive preview free of charge for (a) a period to be determined by us in our sole discretion, or (b) the start date of any purchased Service subscription.

Data
Any data you enter into the services, and any customizations made to the services by or for you, during your free trial will be permanently lost unless you purchase a subscription to the same services as those covered by the trial, purchase applicable upgraded services, or export such data, before the end of the trial period. You cannot transfer data entered or customizations made during the free trial to a service that would be a downgrade from that covered by the trial; therefore, if you purchase a service that would be a downgrade from that covered by the trial, you must export your data before the end of the trial period or your data will be permanently lost.

Copyright and Limited License
Together with our licensors, we own all rights to our products, services, and data. You may access, view, install, and use the Service only as permitted by us, subject to the Terms, and we may terminate this limited license at any time. You shall at all times act in accordance with all applicable laws. The Service and any portion thereof may not be reproduced, duplicated, copied, downloaded, sold, resold, visited, shared, or otherwise exploited for any commercial purpose without our express written consent. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information (including images, text, page layout and form) of Thomson Reuters and/or its affiliates without our express written consent. Any unauthorized use terminates the license granted by us.

Content
You grant us permission to use, store, and process your content in accordance with applicable law. We may delete or disable your content if required under applicable law. We are not responsible for any lost or deleted content, however, we will assist you in restoring content from the last available back up copy, to the extent possible. If any personally identifiable information is provided under these Terms, you acknowledge and agree to the transfer or processing of such information in accordance with our Privacy Statement. You grant us a fully paidup, royalty free, non-exclusive, worldwide, perpetual license to use any feedback you provide us relating to the Service.

Trademarks
Thomson Reuters and the Kinesis logo are trademarks of Thomson Reuters and its affiliated companies. More information about fair use, general use and a list of Thomson Reuters marks can be found here.

Passwords
Your access to the Service is password protected. You are responsible for ensuring the password is kept confidential, and are responsible for the activity that happens on or through your account. Sharing passwords is strictly prohibited. You will inform us immediately in writing upon becoming aware of any unauthorized use of your account or access by a third party to your password.

Governing Law and Precedence
If you are located in the United States, these Terms will be governed by the laws of the State of New York and each of us consents to the exclusive jurisdiction of the federal and state courts of the State of New York. If you are located in Canada, these Terms will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein and each of us consents to the exclusive jurisdiction of the courts of the Province of Ontario. In the event of any conflict between these Terms and any other agreement with Thomson Reuters (including license terms and conditions), these Terms shall take precedence with respect to your access and use of the Service.

Disclaimer of Warranties and Limitation of Liability
The service is provided by thomson reuters on an "As is" and "As available" basis. We make no representations or warranties of any kind, express or implied, as to the operation of the service, or the information, content or materials included on the service.

We are not providing financial, tax and accounting, legal and any other professional advice by allowing you to access and use our products, services. Your decisions made in reliance on the products or services or your interpretations of our data are your own for which you have full responsibility.

We will not be responsible for lost profits, revenues, or data, financial losses, direct, indirect, special, consequential, exemplary, or punitive damages.

You expressly agree that your use of the service is at your sole risk. You shall be fully liable to thomson reuters for any damages resulting from the use of the services during this free trial period. Thomson reuters shall have no liability resulting from the service.
